Terms of service
Version 2026-10-09.
These terms govern the use of sumwerk (the Service), operated by Kitchn Venture GmbH, Französische Straße 12, 10117 Berlin, Germany (we), by the company that holds an account (you). sumwerk is made for companies, not for consumers. By creating an account you accept these terms for your company and confirm that you may do so.
1. The Service
- sumwerk computes subscription metrics from your Stripe account and keeps the customer records, notes, tasks, emails and automations around them, as described on sumwerk.com. What the Service does today is what it does; we say on the site only what is true.
- sumwerk reads from Stripe through the sumwerk app you install there. It changes billing in Stripe only while an owner of your account has switched on billing management, and then only as your users instruct it; payments, refunds and payouts stay in Stripe. sumwerk is not an accounting system and not tax or legal advice. Figures are computed from the data Stripe holds and the rules published on the site; check them before you rely on them for a decision that matters.
- We may change, add and remove functions. What changes is written in the changelog at sumwerk.com/changelog. Removing a function you use gets 30 days’ notice by email, unless security or the law require otherwise.
2. Early access and prices
- During early access the Service is free. We say so on the site, and we say when that ends.
- Prices, when they come, are published on the site before they apply, with at least 30 days’ notice to the owners of existing accounts by email. Nothing is charged without your explicit order. Prices are net of VAT.
- What was free stays usable until the notice period has run; you can end the account at any time before that with no cost.
3. Your account
- The person who creates the account is its first owner and confirms that they act for your company. Owners invite others, and every person has their own login; logins are not shared.
- You keep passwords, API tokens and the keys of connected services safe, and you tell us without delay at hello@sumwerk.com if one may have leaked. Everything done through your logins and tokens counts as done by you, until you told us.
- You must be 18 or older and entitled to act for your company.
4. Your data
- Everything you or your systems put into the Service, and everything the Service reads from your Stripe account for you, is yours. We take no rights in it beyond what providing the Service needs. You can export it at any time as CSV and through the API.
- We process your customers’ personal data on your behalf under the data processing agreement at sumwerk.com/dpa, which is part of these terms.
- You are responsible for having the right to give us the data, for your instructions, and for what you send to your customers from the Service (emails, automations).
- We look into your data to help you when you ask, and otherwise only where operating the Service requires it. Our own staff see states and counts of your account in the ordinary course, not your customers or what they pay.
5. What you may not do
- Use the Service for anything unlawful, or to send unsolicited email.
- Work around limits or security measures, probe or load-test the Service without our written agreement, or access data of another account.
- Give a login or token to a third party to use the Service on your behalf beyond what an ordinary integration is, or resell the Service.
- Store special categories of personal data (Art. 9 GDPR) in the Service; it is not made for them.
We may suspend an account that does any of this, after telling you, and at once where harm to others or to the Service is imminent.
6. Availability
- We run the Service with care and publish its state at status.sumwerk.com. During early access we promise no particular availability. Planned maintenance is announced there in advance.
- Data is backed up every night and kept for 30 days. This is a safeguard, not a substitute for your own exports.
- The Service depends on Stripe and on the other services you connect. When they are unavailable or change, sumwerk may show old or no data until they are back.
7. Our rights
The Service, its software, design and documentation are ours or our licensors’. You get a non-exclusive, non-transferable right to use the Service for your company as long as your account exists. Feedback and feature requests you give us we may use without owing anything, and without naming you.
8. Liability
- We are liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we gave a guarantee.
- For slight negligence we are liable only for the breach of a duty whose fulfilment makes the proper performance of the contract possible in the first place and on which you may rely (a cardinal duty), and then only for the damage that was foreseeable and typical when the contract was made. During early access, while the Service is free, that liability is limited to €5,000 per year in all.
- Beyond that, liability for slight negligence is excluded. This does not affect claims under the data processing agreement or Art. 82 GDPR.
- You are responsible for checking figures before you act on them (clause 1.2) and for keeping your own exports (clause 6.2).
9. Ending the account
- You can end your account at any time. An empty account you delete yourself under Account; any other by writing to hello@sumwerk.com from an owner’s address. We delete your data within 30 days as described in the data processing agreement; export it first.
- We can end an account with 30 days’ notice by email to its owners, and without notice for a serious breach of these terms that is not cured within 14 days of our notice, or cannot be cured.
- Ending the account ends these terms, except for clauses that by their nature continue (data, liability, law).
10. Changes to these terms
We may change these terms when the Service, the law or our business change. A new version is published on the site with its date, and the owners of existing accounts are told by email at least 30 days before it applies. If you do not agree, you can end your account before then; using the Service after that date is acceptance. Every version you accepted stays on record.
11. Law and disputes
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for disputes with merchants is Berlin, Germany. The English version of these terms governs; the German version is a translation for convenience. If a clause is invalid, the rest stays in force.
